M&A Strategy Development and Business DD Support for a Major IT Company

We supported a TSE Prime-listed IT and media company with over 30 completed M&A deals in rebuilding its M&A strategy and conducting business DD. The primary focus was establishing an investment decision framework to keep pace with a growing deal pipeline.

The client is a major IT and media company with a track record of over 30 completed M&A transactions. Despite this extensive experience, the growing number of deals left insufficient time to build a strategic hypothesis for each one. Screening acquisition targets still relied heavily on individual staff experience and intuition. As a result, investment criteria had never been codified at the organizational level, and management meetings were taking longer to reach decisions.

APPROACHApproach

We began by auditing the existing M&A strategy and rebuilding it from the ground up. For each acquisition target, we conducted business DD, examining market potential, revenue structure, and synergies to organize the basis for investment decisions. By supporting the client end-to-end, from strategy formulation through deal-level verification, we articulated a screening process that had previously depended on individual judgment. Drawing on our own experience as a principal investor, we built criteria grounded in practical reality.

IMPACTImpact

With investment criteria now codified, decision-making at management meetings has accelerated. Sharing a common evaluation framework for acquisition targets across the organization has also stabilized the quality of screening at the early stages of deal review.
